Escudo Capital Files for Final TSX-V Approval of Proposed Qualifying Transaction

Vancouver, British Columbia – April 22, 2013 – Escudo Capital Corporation (“Escudo”), a capital pool company listed on the TSX Venture Exchange, is pleased to announce that, further to its news releases dated October 4, 2012, January 14, 2013 and March 1, 2013, it has applied to the TSX Venture Exchange (the “Exchange”) for its final acceptance of Escudo’s previously announced acquisition of all of the issued and outstanding common shares of Aston Bay Ventures Ltd. (the “Acquisition”), which is to serve as Escudo’s Qualifying Transaction under the policies of the Exchange.

The Acquisition and the previously announced concurrent non-brokered private placement is anticipated to close on or about May 6, 2013.

Completion of the transaction is subject to a number of conditions, including but not limited to, Exchange acceptance and if applicable pursuant to Exchange Requirements, majority of the minority shareholder approval.
